Verbose Terms of Service

Effective date: to be set on publication.

These Terms of Service ("Terms") govern your use of Verbose, the desktop application and hosted service available at verbose.sh (the "Service"), operated by the operator of Verbose ("the Operator", "we", "us").

By creating an account, accepting these Terms at sign-up, or using the Service, you agree to these Terms, to the Verbose Acceptable Use Policy ("AUP"), and to the Verbose Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. The Service

Verbose reads text aloud. The hosted Service converts text you provide (typically text you copy to your clipboard) into synthesized speech, and can optionally rewrite that text before speaking it to make it clearer when read aloud. Speech synthesis and text rewriting are performed using artificial intelligence ("AI") models operated by third-party AI service providers acting as our processors and subcontractors.

We may change, suspend, or discontinue any part of the Service at any time. Where reasonably possible we will give notice of material changes.

2. Eligibility and Accounts

You must be legally capable of entering into these Terms. The Service is not directed to children.

You sign in to the hosted Service with a Google account. You are responsible for activity that occurs under your account and on devices signed in to your account. Keep your devices and sign-in credentials secure, and tell us promptly at [email protected] if you believe your account has been compromised.

We may suspend or revoke device sessions or accounts to protect the Service, enforce these Terms or the AUP, or comply with our own obligations to our upstream service providers.

3. AI Outputs

Accuracy notice. The Service uses AI to rewrite and synthesize text. Factual assertions in AI-rewritten output should not be relied upon without independently checking their accuracy: AI output may be false, incomplete, misleading, or not reflective of recent events or information. Rewritten text may differ in meaning from your original text. You are responsible for reviewing output before you rely on it or share it.

No human-generated representation. Output produced by the Service is AI-generated. You must not represent, explicitly or implicitly, that AI-generated output (including rewritten text and synthesized speech) was created by a human.

Provenance. Synthesized audio may carry embedded provenance metadata or watermarks. You must not strip, alter, or circumvent embedded provenance metadata or watermarks in Service output.

4. Your Content and License

"Input" means text and other content you submit to the Service (including clipboard text you choose to have spoken or rewritten). "Output" means the rewritten text and synthesized audio the Service returns.

As between you and the Operator, you retain all rights you hold in your Input. You grant us a limited, non-exclusive license to process your Input — including transmitting it to our third-party AI service providers acting as our processors — solely to provide, secure, and support the Service.

Subject to your compliance with these Terms and to any rights of third parties, and to the extent we hold any rights in Output, we assign those rights to you. Output may not be unique to you; similar or identical output may be generated for other users.

You are solely responsible for your Input and for your use of Output, including ensuring that neither violates applicable law, the AUP, or the rights of any third party.

5. Acceptable Use

Your use of the Service is governed by the Verbose Acceptable Use Policy. In summary, and without limiting the AUP: you must comply with applicable law; you must not use the Service to create or process content that is illegal, defamatory, deceptively impersonates a real person, sexualizes or exploits children, or otherwise causes harm; and you must not interfere with, reverse engineer, or misuse the Service. Violations may result in suspension or termination.

The Service is powered in part by third-party AI service providers acting as our processors and subcontractors. You acknowledge that:

8. Plans, Billing, and Usage Metering

Paid plans are billed through our payment processor, Stripe. Your payment card details are collected and processed by Stripe; we do not receive or store full card numbers. Plan prices, included usage, and features are as described at verbose.sh at the time of purchase.

Usage of the hosted Service is metered by characters of text processed, measured server-side. When you exhaust the usage included in your plan, further hosted requests may be declined or, where you have enabled it, charged as overage under your plan's terms.

Subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or the AUP, if required by law or by our obligations to our upstream service providers, or if we discontinue the Service. Where practicable we will give notice and an opportunity to cure non-egregious breaches. Sections that by their nature should survive termination (including Sections 3, 4, 6, 10, 11, and 12) survive.

10. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. AI OUTPUT IS PROBABILISTIC AND MAY BE INCORRECT. NOTHING IN THE SERVICE IS PROFESSIONAL ADVICE (LEGAL, MEDICAL, FINANCIAL, OR OTHERWISE).

Some jurisdictions do not allow the exclusion of certain warranties; statutory rights that cannot be excluded are not affected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS SUPPLIERS (INCLUDING UPSTREAM AI SERVICE PROVIDERS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR ITS OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE OPERATOR FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You will indemnify and hold harmless the Operator and its suppliers (including upstream AI service providers) from claims, damages, and expenses (including reasonable legal fees) arising from your Input, your use of Output, or your breach of these Terms or the AUP, except to the extent caused by our own breach of these Terms.

13. Changes to These Terms

We may update these Terms. For material changes we will give reasonable advance notice (for example by email or in-app notice). Continued use of the Service after the change takes effect constitutes acceptance. If you do not agree to a change, stop using the Service and cancel your subscription before the change takes effect.

14. Governing Law and Disputes

To be completed before publication: governing law and venue depend on the operator entity decision, and whether to include an arbitration clause and class-action waiver requires legal advice.

15. Miscellaneous

These Terms, the AUP, and the Privacy Policy are the entire agreement between you and the Operator regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
